Online Company Registration in Nepal: OCR CAMIS Process

For a standard wholly Nepali-owned private limited company, online company registration in Nepal is completed mainly through the Office of the Company Registrar’s Company Administration Management Information System (CAMIS). You create an account, check the proposed name, submit company details and supporting documents, pay the government fee and track OCR’s examination until it issues the incorporation certificate. CAMIS is OCR’s separate online platform for company registration and post-incorporation filings. Decide these items before opening the portal

The practical benefit of deciding these points first is consistency. A proposed name, company category, shareholding, capital and MOA/AOA that do not match can lead to an examination query rather than a clean first review.

Step 1: Create a CAMIS company user account

Start on the CAMIS login page and choose Create Company User Account. The form asks for a username, email address, mobile number and the OCR office, together with an indication of whether the user is the company’s own representative. Use an email address and phone number the applicant can monitor. Application updates and account recovery are easier when access stays with the person responsible for the filing.

Step 2: Check the proposed company name online

You can use CAMIS’s Company Name Check from the login screen. Select the company category and enter the proposed name in English and Nepali. Both language fields are required by the live tool. CAMIS Company Name Check

The name check is an early screening tool, not a reservation guarantee. The interface warns that a name with no exact match can still be rejected after internal review because of comparable names or another reason. Keep one or two alternative names ready. That is the simplest way to recover if OCR finds the chosen name unsuitable during examination.

Step 3: Prepare the incorporation file before entering the application

A private company’s MOA and AOA are the central constitutional documents. They should reflect the company’s objectives, authorised and issued capital, shareholders and management details being submitted through CAMIS. Companies Act, 2063

Prepare the following before starting the form:

  • MOA and AOA that match the intended company structure.
  • Scanned citizenship documents for each shareholder and director.
  • A clear registered-office address and supporting address record.
  • Shareholder, director, capital and objective information in a format that can be entered consistently.
  • Beneficial-owner details in OCR’s prescribed format.

The Companies Act permits a private company to have one shareholder and, for a private company with multiple owners, up to 101 shareholders. CAMIS reflects this distinction through its sole-ownership and multiple-proprietor categories. Companies Act, 2063, section 9

Step 4: Complete the CAMIS application and upload documents

After account setup and the name step, complete the incorporation application with the authorised and issued capital, shareholder and director details, registered office, company objectives and the required documents. Upload files that are readable and consistent with the information entered in the form.

Do not include screenshots that show credentials, citizenship numbers, contact information, application numbers or a real applicant’s proposed company name. The process should remain usable from the instructions without any screenshot.

Step 5: Pay the government fee based on authorised capital

OCR’s fee schedule sets private-company incorporation fees by authorised-capital band.

OCR publishes further bands for higher authorised capital, including companies above NPR 10 crore, and other charges such as capital increases, certified copies and name changes. Check the current OCR schedule for the full band and pay the fee that matches the authorised capital in your application. The government fee is separate from any professional fee or later post-incorporation cost.

Step 6: Track examination, respond to queries and obtain the certificate

After submission and payment, OCR examines the name, constitutional documents and supporting information. It may request corrections or additional documentation. Avoid treating an available name result or successful fee payment as incorporation. The company becomes a distinct legal entity when OCR registers it and issues the certificate of incorporation. OCR does not publish a fixed universal processing period on the fee schedule, so follow the status in CAMIS rather than relying on an informal day count.

What to do immediately after incorporation

Incorporation is only the company-formation step. A company should actively confirm and complete its Permanent Account Number (PAN) position with the Inland Revenue Department. OCR has publicised automatic PAN creation following CAMIS registration, but the exact scope of that integration was not confirmed by the cited IRD materials; do not assume PAN is complete without checking. OCR noticesInland Revenue Department

If a separate application is needed, use the business PAN registration route. Depending on the company’s activity, capital and location, VAT registration, a local business registration or an activity-specific licence may be required as separate steps.

Common causes of a stalled online application

These are practical checks, not an exhaustive statutory list:

  • A name that passes the automated check but is still too similar to an existing name.
  • Different shareholder, director, capital or objective details in the form and MOA/AOA.
  • An incomplete beneficial-owner declaration.
  • An unclear registered-office address or unreadable identity upload.
  • Choosing the wrong company category at the name-check stage.

Review the submission against the prepared document pack before paying. A careful first filing is usually easier than correcting a query after examination begins.
