These Terms of Service govern your use of companydartanepal.com and any professional service supplied by Company Darta Services Nepal Pvt. Ltd., trading as Company Darta Nepal (“Company Darta Nepal”, “we”, “us” or “our”). Please read them before approving a quotation or asking us to begin work.

2. Our services

We provide company and business registration, document preparation, government filing support, licensing, foreign-investment assistance, compliance support, legal information and advice, and related administrative or professional services. The exact work we agree to perform is stated in your written quotation, engagement confirmation or other written scope.

Website information is general and may not address your particular facts. A professional relationship for a specific matter begins only when we accept the work and the agreed commencement requirements, including any advance payment and documents, have been satisfied.

3. Quotations and scope

Our quotations are estimates based on the information and documents available when they are prepared. Professional fees vary with the complexity of the work, condition and completeness of the documents, number of people or entities involved, required corrections, urgency and involvement of additional authorities or advisers.

Each client receives a written quotation or scope with clear pricing before paid work begins. Government charges, bank charges, official publication costs, translation, notarization, travel, courier expenses and third-party professional fees are separate from our professional fees unless the quotation expressly includes them. If the scope changes or new work becomes necessary, we will explain the reason and seek approval for any additional professional charge before proceeding where reasonably possible.

4. Payment

We normally require an advance of approximately 50–60% before commencing work, with the balance payable at the stage stated in the written quotation. The exact amount, instalments and due dates in your quotation control if they differ from this general description.

We may pause work when a payment is overdue. A paused matter may be affected by government deadlines, fee changes or processing queues, for which we are not responsible where the delay results from non-payment.

5. Cancellation and refunds

You may ask us to stop work at any time. Payments are generally non-refundable after work has commenced because they cover assessment, staff time, document preparation, coordination and work already undertaken. If you cancel, you will not normally be charged the unearned balance for work that has not begun, but you remain responsible for completed work, approved additional work, government fees and third-party costs already paid or committed on your behalf.

Government and third-party fees are refundable only when the relevant recipient returns them. Nothing in these terms removes a refund or other remedy that cannot lawfully be excluded. If you believe the service materially differs from the agreed scope, contact us promptly so we can review the work and seek a practical resolution.

6. Your responsibilities

You agree to:

  • provide complete, accurate and current information and authentic documents;
  • review drafts, spellings, ownership details, dates and filing information before approval;
  • respond within a reasonable time and tell us promptly when information changes;
  • provide lawful instructions and obtain permission before giving us another person’s information;
  • meet payment, signature, attendance and document requirements stated in the agreed process; and
  • avoid asking us to conceal information, mislead an authority or perform an unlawful act.

If information is incorrect or incomplete, we may request corrections, suspend submission or revise the scope, price and expected timetable. Additional government, professional or correction costs caused by inaccurate or late information are the client’s responsibility.

7. Government and third-party decisions

Applications, registrations, licences, tax matters, visas, foreign-investment approvals and other official processes are decided by the relevant authority—not by Company Darta Nepal. We prepare and follow up work with reasonable professional care, but we do not guarantee approval, acceptance, a particular outcome or completion by a fixed date.

Timelines are estimates and may change because of government review, system availability, holidays, policy changes, additional questions, inspections, document corrections, bank processing or other matters outside our control. We will communicate material developments known to us and make reasonable efforts to progress the matter.

8. Communications and electronic records

You may communicate with us through the client portal, email, telephone, WhatsApp or in person. You authorize us to rely on instructions that reasonably appear to come from you or an approved contact. Tell us immediately if an account, device, email address or messaging account used for the matter is compromised.

Electronic approvals, submitted forms, accepted quotations and account records may be retained as evidence of instructions and the service relationship, subject to applicable law.

9. Confidentiality and personal information

We treat client information as confidential and use it to perform the agreed work, administer our relationship, meet legal duties and protect legitimate rights. Information may need to be provided to government authorities, banks, professional advisers and operational providers connected with the work. Our Privacy Policy explains this in more detail.

10. Minors

A minor may browse the public website but must engage our professional services through a parent or legal guardian who has authority to provide instructions, information and consent. We may decline or pause instructions until suitable adult authorization is confirmed.

11. Website content and intellectual property

Unless stated otherwise, the website, its original text, design and materials are owned by Company Darta Services Nepal Pvt. Ltd. Visitors may quote or share short excerpts for non-commercial purposes when they clearly credit “Company Darta Nepal” and link to the original page. Reproduction, republishing, adaptation, database extraction or commercial use beyond a short attributed excerpt requires prior written permission from [email protected].

Government legislation, forms, notices, trademarks and third-party material remain the property of their respective owners.

12. Acceptable website use

You must not attempt unauthorized access, upload malicious material, interfere with website operation, impersonate another person, scrape the website at a harmful rate, misuse account credentials or use our services for fraud or unlawful conduct. We may restrict access, suspend an account or decline work where reasonably necessary to protect clients, staff, systems or legal obligations.

13. Responsibility and liability

We are responsible for providing the agreed services with reasonable care. To the extent permitted by applicable law, we are not responsible for indirect or consequential loss, loss caused by inaccurate or delayed client information, an independent government or third-party decision, changes in law or policy, or events outside our reasonable control.

Nothing in these terms excludes responsibility that cannot legally be excluded, including responsibility arising from fraud, wilful misconduct or another liability that applicable law requires us to bear. Because no general liability cap has been agreed in these website terms, any matter-specific allocation of responsibility must be stated in the written quotation or engagement terms accepted for that matter.

14. Resolving concerns

If a concern arises, both parties should first exchange the relevant information and attempt in good faith to reach a practical resolution. Contact [email protected] with the matter details. If the concern cannot be resolved through discussion, these terms are governed by the laws of Nepal and disputes are subject to the competent courts of Kathmandu, Nepal, unless applicable law requires another forum.

15. Changes

We may update these website terms when our services, processes or applicable requirements change. The version applicable to a specific paid engagement is the version incorporated into or supplied with that engagement, together with its written quotation and scope. If those documents conflict with these general website terms, the specific written engagement terms control for that matter.
